Terms of Service

Welcome to Athen. By accessing or using our website, platform, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services.

1. Contractual Relationship

These Terms constitute a legal agreement between you and Adventure Platforms, Inc. (“Company,” “we,” or “us”). These Terms supersede any prior agreements or arrangements with you. Adventure Platforms, Inc. may immediately terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services, at any time for any reason.

2. The Services

Athen operates a marketplace connecting vetted software engineers (“Talent”) with companies seeking to hire them (“Clients”).

• For Talent: We provide assessment tools, profile hosting, and matching services.
• For Clients: We provide search capabilities, vetting data, and hiring infrastructure.

3. Account Registration & Security

To use most aspects of the Services, you must register for and maintain an active user account (“Account”). You agree to maintain accurate, complete, and up-to-date information in your Account. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password.

4. Terms for Developers (Talent)

• Vetting Accuracy: You represent that all information provided during the vetting process (code samples, identity verification, work history) is truthful and your own work. Cheating or using proxies during assessments will result in an immediate permanent ban.
• Non-Circumvention: You agree not to circumvent the Athen platform by soliciting or accepting payment from Clients identified through the Services outside of the Athen billing system for a period of 24 months from the initial introduction.
• Professional Conduct: You agree to maintain a high standard of professionalism in all interactions with Clients.

5. Terms for Companies (Clients)

• Hiring Fees: You agree to pay the fees associated with hiring Talent as set forth in our Pricing Agreements or individual insertion orders.
• Non-Circumvention: You agree not to pay Talent identified through Athen outside of the platform. If you wish to hire Talent as a direct full-time employee (taking them off the platform), a conversion fee (“Buy-out Fee”) will apply.
• No Guarantee: While we rigorously vet Talent, Athen does not guarantee the specific performance or suitability of any Talent for your specific project needs.

6. Intellectual Property

The Services and all rights therein are and shall remain Adventure Platforms, Inc.’s property or the property of Adventure Platforms, Inc.’s licensors. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or related to the Services except for the limited license granted above; or (ii) to use or reference in any manner Adventure Platforms, Inc.’s company names, logos, product and service names, trademarks, or service marks.

7. Limitation of Liability

ADVENTURE PLATFORMS, INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF ADVENTURE PLATFORMS, INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Washington, U.S.A., without giving effect to any conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Seattle, Washington.
